Terms of Service
The terms and conditions that govern access to and use of Sales Day.

1. About these Terms
These Terms of Service govern access to and use of Sales Day.
By creating an account, purchasing a Subscription, accepting an invitation to a Workspace, or otherwise using Sales Day, you agree to these Terms.
If you use Sales Day on behalf of a company, organisation or other legal entity, you confirm that you have authority to bind that entity. In that case, references to "Customer", "you" and "your" include that entity.
You should not use Sales Day if you do not agree with these Terms.

In these Terms, "Sales Day", "we", "us" and "our" mean Sales Day Software Ltd.
3. Business and professional use
Sales Day is intended for business and professional use, including use by:
- companies;
- partnerships;
- organisations;
- charities;
- sole traders;
- freelancers; and
- self-employed professionals.
Sales Day is not intended for personal, family or household use.
You must be at least 18 years old to create or use an account.
4. Definitions
In these Terms:
Account means a registered Sales Day user account.
Customer means the person or entity that creates an Account, purchases a Subscription or controls a Workspace.
Customer Data means information, records, files and content entered into, imported into, generated through or stored in Sales Day by or for the Customer or its Users.
Documentation means the user guidance, help information and product information made available by Sales Day.
Free Plan means the free level of the Service, subject to current feature and usage limits.
Order means an online checkout, order form, quotation or other agreed purchase of a paid Service.
Service means the Sales Day websites, application, features, integrations and related services.
Subscription means a paid right to use a Sales Day plan for a stated billing period.
Team Workspace means a Workspace designed for two or more authorised Users under a Team or Enterprise plan.
User means an individual authorised to access the Service.
Workspace means a personal or Team environment in which Customer Data is stored and managed.
5. The Service
Sales Day is a diary-driven sales execution and customer relationship management service.
Depending on the applicable plan and current product functionality, the Service may include:
- Accounts;
- Contacts;
- Leads;
- Deals;
- Tasks;
- Meetings;
- Diary and Today views;
- task rescheduling;
- notifications;
- Team collaboration;
- calendar integration;
- reports;
- imports;
- exports;
- workflow features;
- billing tools; and
- related functions.
Features may differ by:
- plan;
- Workspace type;
- User role;
- integration availability;
- product version;
- country; or
- technical capability.
We may improve, update, replace or discontinue features in accordance with these Terms.
6. Accounts
You must provide accurate and current information when creating and maintaining an Account.
You are responsible for:
- protecting your login credentials;
- maintaining access to your registered email address;
- activity carried out through your Account;
- using secure devices and networks;
- notifying us promptly of suspected compromise;
- ensuring that Account information remains accurate; and
- complying with these Terms.
Individual User accounts must not be shared.
You must not:
- create an Account using another person's identity without authority;
- use false or misleading registration information;
- transfer an Account to another person;
- provide credentials to an unauthorised person; or
- retain access after your authority has ended.
7. Workspaces
7.1 Personal Workspaces
A User may have a personal Workspace connected to their Account.
A personal Workspace is separate from any Team Workspace to which the User belongs.
Records stored in a personal Workspace do not automatically become part of a Team Workspace.
7.2 Team Workspaces
Team Workspaces allow authorised Users to collaborate on shared Customer Data.
The Customer is responsible for:
- deciding who may join;
- assigning appropriate roles;
- reviewing access;
- removing Users who no longer require access;
- managing seat quantities; and
- ensuring that Team use is lawful.
7.3 Workspace owners and administrators
Workspace owners and authorised administrators may be able to:
- invite Users;
- remove Users;
- assign roles;
- manage seats;
- configure Workspace settings;
- access Workspace records;
- manage billing;
- export data;
- delete eligible Workspaces; and
- perform other administrative actions.
A Customer should grant administrative access only to trusted individuals.
7.4 Removal from a Team Workspace
When a User is removed from a Team Workspace:
- the User loses access to that Team Workspace;
- records created or updated by the User may remain in the Team Workspace;
- the User's personal Workspace is not automatically deleted; and
- the User may retain access to another Workspace where separately authorised.
8. Plans
Sales Day may offer plans including:
- Solo;
- Team; and
- Enterprise.
A limited Free Plan remains available to certain existing Users but is no longer offered to new sign-ups.
The current features, limits and prices are shown in the Service, on the Sales Day website or in an applicable Order.
We may introduce, rename, alter or withdraw plans.
Changes affecting an existing paid Subscription will be handled in accordance with these Terms and any applicable notice requirements.
9. Free Plan
The Free Plan is free of recurring Subscription charges.
It may be subject to limits including:
- number of Users;
- open Tasks;
- Leads;
- Accounts;
- Contacts;
- Deals;
- integrations;
- storage;
- email or notification activity; and
- other product limits.
Current limits are shown in the Service or on the Sales Day website.
The Free Plan does not normally require payment-card details.
We may change Free Plan features or limits on reasonable notice.
We may also restrict or discontinue a Free Plan where reasonably necessary, but we will not use this right to remove paid access that has already been purchased.
10. Trials
Eligible new Users receive a 14-day free trial with full access to Sales Day.
Unless expressly stated otherwise:
- no payment card is required to begin the trial;
- the trial begins when the Account or eligible Workspace is created;
- trial eligibility may be limited to one trial per person, business or organisation;
- trial access may be restricted where there is suspected misuse;
- a trial does not automatically become a paid Subscription without an affirmative purchase; and
- when the trial expires without a paid Subscription, the relevant personal Workspace becomes read-only.
While a Workspace is read-only, the Customer may continue to view and export Customer Data but cannot create or edit records until a paid plan is selected. Sales Day may retain a read-only Workspace for a limited period (currently 90 days) before it becomes eligible for deletion in accordance with these Terms.
We are not responsible for loss of access to features or records that results from trial expiry where no paid plan has been selected.
Users should review and export any information they require before a trial or plan change affects access.
11. Team plan entitlement
The Team plan requires at least two paid seats unless Sales Day agrees otherwise.
Each active paid Team seat currently includes Solo-level individual features and limits in that User's personal Workspace without a separate individual Subscription.
This personal entitlement:
- applies only while the User remains an active paid Team member;
- does not transfer Team-only collaboration or administrative features into the personal Workspace;
- may end if the Team seat is removed, unpaid, cancelled or terminated; and
- does not create a separate Stripe Subscription for the personal Workspace.
12. Orders and Subscriptions
A paid Subscription begins when:
- checkout is completed;
- payment is authorised;
- Sales Day confirms the Order; or
- another agreed start condition occurs.
Subscription details may include:
- plan;
- number of seats;
- monthly or annual billing;
- price;
- taxes;
- start date;
- renewal date; and
- promotional terms.
You are responsible for reviewing the Order before completing checkout.
13. Fees and taxes
You must pay the fees shown at checkout or in the applicable Order.
Unless stated otherwise:
- fees are charged in the displayed currency;
- taxes may be added where required;
- pricing excludes taxes unless expressly shown as tax-inclusive;
- bank, card or foreign-exchange charges imposed by third parties are your responsibility; and
- fees are payable in advance for the relevant billing period.
You must provide accurate billing and tax information.
14. Payment processing
Sales Day uses Stripe to process payments and manage subscriptions.
Payment-card information is entered into Stripe-controlled systems.
Sales Day does not store full payment-card numbers or card-security codes.
Stripe may process information under its own terms, privacy documentation and legal obligations.
You authorise Sales Day and Stripe to charge the selected payment method for:
- Subscription fees;
- seat increases;
- upgrades;
- renewals;
- taxes;
- approved adjustments; and
- other amounts properly due under the Order.
15. Automatic renewal
Paid Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal is processed.
A monthly Subscription normally renews monthly.
An annual Subscription normally renews annually.
You are responsible for cancelling before renewal if you do not want the next billing period to begin.
Failure to use the Service does not prevent automatic renewal.
16. Upgrades
A plan upgrade normally takes effect immediately.
Where applicable:
- access to the upgraded plan begins immediately;
- the payment method may be charged a prorated amount for the remainder of the current billing period;
- Stripe may calculate credits or adjustments;
- the Subscription continues on the upgraded plan; and
- the next renewal is charged at the upgraded plan's current price.
17. Downgrades
A plan downgrade normally takes effect at the end of the current paid billing period.
Until then, the Customer normally retains access to the current paid plan.
When the downgrade takes effect:
- lower feature limits apply;
- some features may become unavailable;
- records exceeding the new plan's limits may become restricted;
- integrations may stop;
- Team functionality may end; and
- Customer action may be required to reduce usage.
The Customer is responsible for reviewing and exporting Customer Data before a downgrade takes effect.
18. Team seat changes
18.1 Seat increases
Seat increases may take effect immediately.
A prorated charge may be applied for the remaining part of the billing period.
18.2 Seat reductions
Seat reductions normally take effect at the end of the current billing period.
The Customer must remove or deactivate affected Team members before the reduction can take effect where required.
18.3 Minimum Team quantity
The Team plan normally requires at least two paid seats.
If the Customer reduces below the minimum quantity, Sales Day may require the Customer to:
- select another plan;
- maintain the minimum quantity;
- cancel the Team Subscription; or
- contact support.
19. Price changes
We may change prices.
For existing paid Subscriptions, a price change will normally apply from a future renewal date after reasonable notice.
The Customer may cancel before the new price takes effect.
Promotional or introductory prices may end according to their stated conditions.
20. Payment failure
If payment fails, Sales Day or Stripe may:
- retry the payment;
- notify the billing contact;
- restrict access;
- suspend paid features;
- downgrade the affected Workspace;
- cancel the Subscription; or
- take other reasonable recovery action.
The Customer remains responsible for amounts properly due.
Restoring access after payment may require successful payment and processing time.
21. Cancellation
A Customer may cancel a paid Subscription through available billing controls or by contacting:
Unless expressly stated otherwise, cancellation:
- prevents the next renewal;
- takes effect at the end of the current paid billing period;
- allows paid access to continue until that period ends;
- does not automatically delete an Account;
- does not automatically delete a Workspace; and
- does not automatically delete Customer Data.
The Customer should export required Customer Data before access changes.
22. Refunds
Fees already paid are normally non-refundable.
Except where required by law or expressly agreed by Sales Day, we do not provide refunds or credits for:
- partially used billing periods;
- unused features;
- unused seats;
- failure to use the Service;
- late cancellation;
- downgrades;
- Workspace closure;
- Account closure; or
- termination caused by the Customer's breach.
Sales Day may issue a discretionary refund or credit.
A discretionary refund or credit:
- does not create an entitlement;
- does not establish a precedent; and
- does not change these Terms.
23. Customer Data
The Customer retains ownership of its Customer Data.
The Customer grants Sales Day and its providers a limited right to:
- host;
- copy;
- transmit;
- store;
- display;
- organise;
- process;
- back up;
- secure;
- troubleshoot; and
- otherwise use Customer Data
only as reasonably necessary to provide, support, secure and operate the Service, comply with law and enforce these Terms.
This licence ends when the relevant Customer Data is deleted, subject to:
- backups;
- legal retention;
- security records;
- billing records;
- dispute records; and
- other lawful retention.
24. Customer responsibilities for Customer Data
The Customer is responsible for:
- the lawfulness of Customer Data;
- obtaining Customer Data lawfully;
- having an appropriate lawful basis;
- providing required privacy information;
- respecting individual rights;
- maintaining accuracy where required;
- controlling User access;
- setting appropriate retention periods;
- protecting exported data;
- ensuring communications are lawful; and
- ensuring that Customer Data does not breach these Terms.
Sales Day does not generally review Customer Data to determine whether the Customer's processing is lawful.
25. CRM data and third parties
Customers may use Sales Day to store information about:
- Leads;
- prospects;
- Contacts;
- customers;
- suppliers;
- employees;
- representatives; and
- other business relationships.
The Customer, rather than Sales Day, determines:
- which people are recorded;
- why they are recorded;
- what information is entered;
- how long it is kept;
- who may access it;
- whether they are contacted; and
- when information should be deleted.
Where Sales Day processes personal data on the Customer's behalf, the Sales Day Data Processing Addendum applies.
26. Restricted and sensitive data
Sales Day is not designed as a specialist system for highly sensitive or heavily regulated data.
Unless Sales Day has expressly agreed otherwise in writing, the Customer must not use the Service as the primary system for storing:
- full payment-card details;
- card-security codes;
- third-party passwords;
- private authentication keys;
- extensive health or medical records;
- genetic data;
- biometric identification data;
- criminal-offence records;
- classified information;
- highly sensitive government identifiers;
- substantial volumes of children's data;
- safety-critical information; or
- other information requiring specialist regulatory hosting.
Incidental references to sensitive matters in legitimate business notes do not automatically breach these Terms, but the Customer must minimise the information and ensure that its processing is lawful and necessary.
27. Data Processing Addendum
The Sales Day Data Processing Addendum forms part of these Terms where Sales Day processes personal data on behalf of the Customer.
If these Terms conflict with the Data Processing Addendum concerning the processing of Customer Personal Data, the Data Processing Addendum takes priority.
28. Imports
Sales Day may allow authorised Users to import supported data.
The Customer is responsible for ensuring that imported data:
- was obtained lawfully;
- is accurate enough for the intended use;
- does not infringe another person's rights;
- does not contain malware;
- does not contain deliberately harmful formulas or content;
- does not exceed applicable limits; and
- is appropriate for Sales Day.
An import may fail, partially complete or create duplicate records.
The Customer should review import results before relying on them.
29. Exports
Sales Day may allow authorised Users to export supported Customer Data.
Supported exports may include:
- Accounts;
- Contacts;
- Leads;
- Deals;
- Tasks; and
- Meetings.
Export availability depends on:
- User role;
- Workspace access;
- plan;
- current product functionality; and
- record state.
The Customer is responsible for protecting exported files after download.
A User profile export is separate from a Workspace CRM export and may not contain all Customer Data.
30. Data deletion
Signing out does not delete an Account or Customer Data.
Cancelling a Subscription does not automatically delete:
- an Account;
- a Workspace; or
- Customer Data.
Record, Workspace or Account deletion may require:
- an authorised deletion action;
- appropriate role permissions;
- verification of identity;
- verification of Workspace authority;
- resolution of billing matters; or
- assistance from Sales Day.
Deletion requests may be sent to:

Deleted data may remain temporarily in backups, logs or legally retained records.
31. Third-party services
The Service may use or connect with third-party services.
These may include:
- Base44;
- Stripe;
- Resend;
- Google; and
- other future providers.
Third-party services may have their own:
- terms;
- privacy notices;
- security practices;
- availability;
- restrictions; and
- technical requirements.
Sales Day is not responsible for a third party's independent acts, omissions, service changes or data practices.
32. Google Calendar
Sales Day may allow a User to connect Google Calendar.
By connecting Google Calendar, the User instructs Sales Day to exchange relevant information with Google to provide requested synchronisation.
Depending on the feature used, this may include:
- event titles;
- dates;
- times;
- descriptions;
- locations;
- attendees;
- Task or Meeting identifiers;
- Workspace information; and
- synchronisation metadata.
The User is responsible for:
- authorising the correct Google account;
- reviewing permissions;
- complying with Google's terms;
- protecting confidential information;
- reviewing created or updated events; and
- disconnecting access when no longer required.
Disconnecting Google Calendar may stop future synchronisation but may not delete events already created in Google.
Sales Day does not currently represent that Outlook calendar integration is available unless expressly shown as active within the Service.
33. Communications
Sales Day may send:
- account messages;
- Team invitations;
- support responses;
- billing notices;
- payment-failure messages;
- security alerts;
- legal notices;
- service updates;
- notifications requested by Users; and
- optional Morning Digests.
Transactional, security, billing and legal messages are not marketing communications.
Where optional settings are available, Users may manage them through the Service.
34. Customer communications
The Customer is responsible for communications initiated through Sales Day.
The Customer must comply with laws concerning:
- electronic marketing;
- email;
- direct marketing;
- consent;
- legitimate interests;
- sender identification;
- objections;
- unsubscribe requests; and
- suppression lists.
Sales Day does not confirm that a communication is lawful merely because the Service allows it to be sent.
35. Acceptable Use Policy
The Sales Day Acceptable Use Policy forms part of these Terms.
The Customer and its Users must comply with it.
Sales Day may investigate suspected misuse and may restrict or suspend access where reasonably necessary to:
- protect Users;
- protect Customer Data;
- protect the Service;
- comply with law;
- investigate fraud;
- prevent security harm; or
- enforce these Terms.
36. Intellectual property
Sales Day and its licensors retain all rights in:
- the Service;
- software;
- source code;
- designs;
- interfaces;
- branding;
- logos;
- Documentation;
- databases;
- workflows;
- product names; and
- related intellectual property.
Except for the limited right to use the Service under these Terms, no rights are transferred to the Customer.
The Customer must not copy, reproduce, modify, resell, reverse engineer or create derivative works from the Service except where expressly permitted by law or these Terms.
37. Feedback
If you provide feedback, suggestions or ideas about Sales Day, you grant us a perpetual, worldwide, royalty-free right to use them to improve, develop and operate the Service.
We are not required to:
- use the feedback;
- pay for it;
- keep it confidential; or
- attribute it.
This section does not transfer ownership of Customer Data.
38. Confidentiality
Each Party may receive confidential information from the other.
Confidential information includes information that:
- is identified as confidential;
- would reasonably be understood to be confidential;
- concerns security;
- concerns non-public product information;
- concerns pricing or negotiations; or
- concerns Customer Data.
The receiving Party must:
- protect confidential information using reasonable care;
- use it only for the relevant relationship;
- disclose it only to people who need it and are subject to suitable obligations; and
- not disclose it unlawfully.
Confidentiality obligations do not apply to information that:
- is public without breach;
- was lawfully known already;
- is received lawfully from another source;
- is independently developed; or
- must be disclosed by law.
39. Service availability
Sales Day aims to provide a reliable Service but does not guarantee uninterrupted or error-free operation.
Availability may be affected by:
- maintenance;
- updates;
- internet failure;
- provider outages;
- security incidents;
- third-party services;
- Customer configuration;
- device or browser issues;
- force majeure; or
- other events outside reasonable control.
Sales Day does not currently provide a formal service-level agreement or guaranteed uptime unless separately agreed in writing.
40. Changes to the Service
We may modify the Service to:
- improve functionality;
- correct defects;
- maintain security;
- comply with law;
- respond to provider changes;
- reduce misuse;
- introduce new features;
- remove outdated features; or
- improve performance.
We will use reasonable efforts to give notice where a change materially reduces a core paid feature during a current Subscription.
This does not prevent urgent changes required for:
- security;
- law;
- provider availability;
- fraud prevention; or
- operational stability.
41. Beta and preview features
Sales Day may identify some features as:
- beta;
- preview;
- early access;
- experimental; or
- test.
Such features may:
- be incomplete;
- change;
- be withdrawn;
- contain errors;
- have limited support; or
- be subject to additional terms.
They should not be relied upon for critical operations unless Sales Day expressly agrees otherwise.
42. Suspension
Sales Day may suspend an Account, User, Workspace, feature or Subscription where reasonably necessary because of:
- payment failure;
- security risk;
- suspected unauthorised access;
- unlawful activity;
- breach of these Terms;
- breach of the Acceptable Use Policy;
- fraud;
- misuse;
- excessive operational risk;
- a provider requirement;
- a legal obligation; or
- risk to another person.
Where reasonably practicable, Sales Day will provide notice and an opportunity to correct the issue.
Immediate action may be taken where delay could cause harm.
43. Termination by the Customer
The Customer may stop using the Free Plan at any time.
A paid Subscription may be cancelled in accordance with section 21.
Account, Workspace and data deletion are separate from Subscription cancellation.
The Customer remains responsible for fees and obligations arising before termination.
44. Termination by Sales Day
Sales Day may terminate access where:
- the Customer materially breaches these Terms;
- payment remains overdue;
- unlawful or harmful use continues;
- security risk cannot reasonably be controlled;
- the Customer repeatedly breaches plan limits or restrictions;
- the Customer becomes insolvent;
- continuation would breach law;
- a required provider service becomes unavailable; or
- continued operation creates disproportionate legal or operational risk.
Where reasonably practicable, Sales Day will provide notice.
45. Effect of termination
When access ends:
- the right to use the Service ends;
- Users may lose access to Workspaces;
- integrations may stop;
- paid entitlements end;
- Team personal-Workspace entitlements may end;
- Customer Data may become unavailable; and
- deletion processes may begin.
The Customer should export required Customer Data before termination or access expiry.
Provisions intended to survive termination remain effective, including provisions concerning:
- fees;
- intellectual property;
- confidentiality;
- data protection;
- liability;
- disputes; and
- governing law.
46. Warranties
Each Party warrants that it has authority to enter into these Terms.
Sales Day warrants that it will provide the Service with reasonable care and skill.
Except as expressly stated in these Terms and to the maximum extent permitted by law, the Service is provided "as available".
We do not warrant that:
- the Service will be uninterrupted;
- every error will be corrected;
- every feature will always remain available;
- data will never be lost;
- every communication will be delivered;
- integrations will always remain compatible;
- the Service will meet every Customer requirement; or
- the Service is suitable for highly regulated or safety-critical use.
47. Customer decisions
Sales Day assists with sales organisation and execution.
It does not provide:
- legal advice;
- tax advice;
- financial advice;
- employment advice;
- regulated investment advice;
- medical advice; or
- another licensed professional service.
The Customer remains responsible for:
- business decisions;
- sales decisions;
- record accuracy;
- customer contact;
- legal compliance;
- professional advice; and
- decisions based on information in the Service.
48. Limitation of liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
This includes liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- another liability that cannot legally be limited.
Subject to that, Sales Day is not liable for:
- indirect loss;
- consequential loss;
- loss of profits;
- loss of revenue;
- loss of anticipated savings;
- loss of goodwill;
- loss of business opportunity;
- loss caused by a third-party service;
- loss caused by Customer configuration;
- loss arising from unlawful Customer Data;
- loss caused by compromised Customer credentials; or
- loss that could reasonably have been avoided through available export or security measures.
Sales Day's total aggregate liability arising from or relating to the Service during any 12-month period will not exceed the greater of:
- the fees paid or payable by the Customer to Sales Day during the 12 months immediately before the event giving rise to the claim; or
- £100.
For a Customer using only the Free Plan, Sales Day's total aggregate liability will not exceed £100.
The limitations apply to all claims in contract, tort, negligence, breach of statutory duty or otherwise, to the extent permitted by law.
49. Customer indemnity
The Customer will indemnify Sales Day against reasonable third-party claims, losses, costs and liabilities arising from:
- unlawful Customer Data;
- infringement caused by Customer Data;
- unlawful marketing or communications initiated by the Customer;
- misuse of the Service;
- breach of the Acceptable Use Policy;
- breach of applicable law by the Customer;
- unauthorised use by the Customer's Users; or
- a claim that Sales Day's processing in accordance with the Customer's instructions infringed another person's rights.
This obligation does not apply to the extent the claim was caused by Sales Day's breach of these Terms or applicable law.
Sales Day will provide reasonable notice of an indemnified claim and reasonable cooperation.
50. Changes to these Terms
We may update these Terms to reflect:
- changes in law;
- changes to the Service;
- plan or billing changes;
- provider changes;
- security developments;
- new features;
- regulator guidance; or
- improvements in clarity.
The updated Terms will display a revised effective or last-updated date.
For material changes, we may provide notice through:
- email;
- the Service;
- the website;
- billing communications; or
- another reasonable electronic method.
Changes will not normally apply retrospectively.
Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.
51. Notices
Sales Day may send notices to:
- the registered Account email address;
- the billing contact;
- the Workspace owner;
- an administrator;
- the Service;
- the Sales Day website; or
- another contact provided by the Customer.
The Customer must keep contact information current.
Notices to Sales Day should be sent to the relevant address:
- General support: support@sales.day
- Billing: billing@sales.day
- Privacy: privacy@sales.day
- Security: security@sales.day
Formal legal notices may also be sent to the registered office.
52. Force majeure
Neither Party is liable for delay or failure caused by events beyond its reasonable control.
These may include:
- natural disasters;
- war;
- terrorism;
- civil unrest;
- government action;
- labour disputes;
- internet or telecommunications failure;
- power failure;
- provider outage;
- cyberattack;
- epidemic;
- pandemic; or
- other comparable events.
This section does not excuse payment obligations for Services already provided.
53. Assignment
The Customer may not assign or transfer these Terms without Sales Day's prior written consent, except as part of a genuine sale or reorganisation of substantially all of the relevant business.
Sales Day may assign these Terms:
- to an affiliate;
- as part of a merger;
- as part of a reorganisation;
- as part of a financing;
- as part of a sale of the business or assets; or
- to a successor operating the Service.
Any assignment remains subject to applicable data-protection law.
54. Subcontracting
Sales Day may use affiliates, contractors and service providers to perform parts of the Service.
Where they process Customer Personal Data on Sales Day's behalf, the Data Processing Addendum and Subprocessor List apply.
Sales Day remains responsible for its contractual obligations, subject to these Terms.
55. Third-party rights
Unless expressly stated otherwise, a person who is not a Party to these Terms has no right to enforce them.
This does not affect rights that cannot lawfully be excluded.
56. Waiver
A failure or delay in enforcing a right does not waive that right.
A waiver is effective only if made in writing by the Party granting it.
57. Severability
If a provision is found invalid, unlawful or unenforceable:
- it will be limited or removed only to the extent necessary; and
- the remaining provisions will continue in effect.
58. Entire agreement
These Terms, together with incorporated documents and any applicable Order, form the entire agreement concerning the Service.
They replace previous discussions, statements or agreements concerning the same subject, except for fraud or fraudulent misrepresentation.
59. Order of precedence
If documents conflict, the following order normally applies:
- a separately signed Enterprise or negotiated agreement;
- an applicable Order;
- the Data Processing Addendum for matters concerning Customer Personal Data;
- these Terms;
- the Acceptable Use Policy; and
- other incorporated policies.
A later, more specific written agreement takes priority to the extent expressly stated.
60. Governing law and courts
These Terms and any non-contractual obligations arising from them are governed by the laws of Northern Ireland.
The courts of Northern Ireland have exclusive jurisdiction, subject to any mandatory legal right that cannot validly be excluded.
